1. Acceptance and Who May Accept

These Terms of Use (“Terms”) govern your access to and use of BellReserve, including the BellReserve website, dashboard, AI voice receptionist, APIs, telephony functionality, and related services (collectively, the “Service”).

The Service is a business-to-business product intended for restaurants and other permitted business customers.

By creating an account, accepting these Terms, purchasing a subscription, or using the Service, you agree to these Terms.

If you accept these Terms on behalf of a restaurant, company, partnership, or other organization:

  1. You represent that you have authority to bind that organization.
  2. “You” and “Customer” mean that organization.
  3. These Terms form a binding agreement between that organization and UnicodeTech Pvt. LTD.

If you do not have authority to bind the organization, you may not accept these Terms on its behalf.

2. Definitions

2.1 “Service”

The BellReserve software, AI voice receptionist, dashboard, APIs, telephony integrations, and related services provided by us.

2.2 “Customer” or “Restaurant”

The restaurant or business subscribing to the Service.

2.3 “End Caller” or “Caller”

A member of the public who calls a telephone number connected to a Customer’s BellReserve account.

2.4 “Customer Content”

Information, configurations, menu information, prices, business hours, reservation rules, caller information, order information, recordings, transcripts, and other content submitted to or generated through the Service on the Customer’s behalf.

2.5 “AI Output”

Responses, classifications, extracted information, summaries, or other output generated by the AI functionality.

2.6 “Order Data”

Information relating to food or other orders processed through the Service.

3. The Service and License Grant

Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the applicable subscription period.

The Service may allow Customer to:

  • Connect a restaurant telephone number.
  • Configure an AI voice receptionist.
  • Provide restaurant hours, menus, policies, and other information.
  • Receive and process inbound calls.
  • Manage reservations.
  • Process pickup and delivery orders.
  • Receive catering and large-party inquiries.
  • Review call history.
  • Review orders and reservations.
  • Manage customers and usage.
  • Receive notifications.
  • Enter records manually.
  • Transfer callers to a human at the Restaurant.

We may update, modify, add, or remove Service features from time to time.

Customer may not resell, sublicense, lease, or otherwise make the Service available to third parties except as expressly permitted by us.

4. Account Registration and Security

Customer must provide accurate information when creating an account.

Customer is responsible for:

  • Maintaining account credentials.
  • Keeping passwords confidential.
  • Restricting access to authorized personnel.
  • Notifying us promptly of suspected unauthorized access.
  • Ensuring personnel use the Service lawfully.

Customer is responsible for activity occurring through its account unless caused by our breach of these Terms or applicable law.

5. Subscriptions, Fees and Payment

5.1 Fees

Customer agrees to pay the subscription fees and usage-based charges presented during signup or otherwise agreed between the parties.

Applicable fees may include recurring subscription charges and usage-based charges.

5.2 Auto-Renewal

Unless otherwise agreed, subscriptions may automatically renew for successive subscription periods.

The applicable renewal price will be disclosed during signup or in the applicable order or subscription agreement.

5.3 Price Changes

We may change pricing by providing reasonable advance notice.

Price changes will generally apply at the next renewal period unless otherwise agreed.

5.4 Taxes

Fees do not include applicable taxes, duties, levies, or similar governmental charges unless expressly stated otherwise.

Customer is responsible for applicable taxes except taxes imposed on our net income.

5.5 Refunds

Fees are non-refundable except where:

  • Required by law.
  • Expressly stated in an applicable order.
  • We agree otherwise in writing.

5.6 Non-Payment

We may suspend the Service after reasonable notice if Customer fails to pay undisputed amounts when due.

We may suspend immediately where continued operation creates material legal, security, fraud, carrier, or regulatory risk.

6. Customer Responsibilities and Compliance

Important: Customer is responsible for how it configures and uses BellReserve and for its relationship with End Callers. Customer must use the Service in compliance with applicable laws and regulations.

6.1 Call Recording and Consent

Customer is responsible for ensuring that calls are recorded lawfully.

Customer must:

  • Determine which recording laws apply to its calls.
  • Provide any required recording disclosure.
  • Obtain any required consent.
  • Configure the Service and greeting appropriately.
  • Ensure that the recording disclosure is made at the appropriate point in the call.
  • Maintain records required by applicable law.

BellReserve may provide functionality that supports disclosure, but Customer remains responsible for legal compliance.

6.2 AI Disclosure

Customer must not configure, prompt, instruct, or otherwise cause the AI to falsely represent that it is human.

Customer must not remove or circumvent required AI disclosures.

The BellReserve AI is intended to identify itself as an automated assistant.

6.3 Accuracy of Restaurant Information

Customer is responsible for ensuring that information supplied to BellReserve is accurate and current, including:

  • Menu items.
  • Menu prices.
  • Modifiers.
  • Availability.
  • Business hours.
  • Holiday hours.
  • Reservation rules.
  • Seating capacity.
  • Delivery radius.
  • Delivery information.
  • Catering information.
  • Restaurant policies.

An AI system can only reliably respond using information available to it.

6.4 Allergens and Food Safety

Customer is solely responsible for food safety and allergen information.

Customer must provide accurate allergen and ingredient information where relevant.

Customer must not rely solely on BellReserve’s AI to determine whether food is safe for a caller with an allergy or other dietary restriction.

If an allergy or food-safety issue could cause harm, Customer must use an appropriate human verification process.

6.5 Alcohol and Age-Restricted Items

Customer must comply with all laws concerning alcohol, age-restricted products, delivery restrictions, identification, age verification, and applicable licensing.

Customer must not use BellReserve in a manner that causes BellReserve to bypass a legal age or identity requirement.

6.6 Accessibility

Customer is responsible for complying with applicable accessibility laws and obligations concerning its business, telephone services, websites, and communications.

6.7 Caller Data

Customer must have a lawful basis for collecting and using End Caller information.

Customer must:

  • Provide required privacy notices.
  • Honor applicable access, deletion, correction, and opt-out requests.
  • Use caller information only for lawful purposes.
  • Maintain its own privacy notice for its guests.
  • Provide BellReserve with appropriate instructions where BellReserve processes caller information on Customer’s behalf.

BellReserve’s Privacy Policy explains the distinction between Restaurant account information and End Caller information.

6.8 TCPA, SMS and Outbound Calls

BellReserve is designed primarily for inbound calls initiated by callers to the Restaurant.

If Customer enables or uses any outbound calling, SMS, callback, or similar functionality, Customer is solely responsible for:

  • Obtaining required prior express consent.
  • Maintaining consent records.
  • Complying with Do-Not-Call requirements.
  • Honoring opt-outs.
  • Complying with calling-time restrictions.
  • Maintaining legally required records.
  • Complying with applicable federal and state telemarketing laws.

7. Acceptable Use Policy

Customer may not use the Service to:

  1. Violate applicable law.
  2. Commit fraud or facilitate fraud.
  3. Harass, threaten, or abuse callers.
  4. Impersonate a human through the AI.
  5. Circumvent required AI disclosures.
  6. Provide emergency services.
  7. Make medical or allergy-safety determinations.
  8. Process unlawful or unauthorized caller information.
  9. Upload scraped or purchased contact lists for prohibited purposes.
  10. Use the Service for unlawful automated outreach.
  11. Reverse engineer the Service except where applicable law expressly permits it.
  12. Circumvent security controls.
  13. Interfere with Service availability.
  14. Attempt unauthorized access to another Customer’s data.
  15. Benchmark the Service for competitive purposes without our written permission.
  16. Use BellReserve outputs to train a competing AI model without our written permission.
  17. Use the Service to facilitate illegal activity.
  18. Use the Service in a way that creates unreasonable legal, carrier, security, or reputational risk.

Emergency Services: The Service is not an emergency service. Neither Customer nor an End Caller should rely on BellReserve to contact police, fire, ambulance, or other emergency responders. For emergencies, callers should dial 911 or the appropriate local emergency number.

8. Customer Content and Data

As between Customer and BellReserve, Customer retains ownership of Customer Content.

Customer grants us a limited license to host, store, process, transmit, display, modify as technically necessary, and otherwise use Customer Content as necessary to:

  • Provide the Service.
  • Process calls.
  • Process orders and reservations.
  • Maintain the dashboard.
  • Provide support.
  • Secure the Service.
  • Prevent abuse.
  • Comply with law.
  • Enforce these Terms.

We may also use aggregated and de-identified information to analyze, maintain, improve, and develop the Service, provided that the resulting information does not identify Customer or an individual.

The processing of End Caller personal information is additionally governed by the applicable data-processing terms and the Privacy Policy .

Where required, Customer and BellReserve should execute a separate Data Processing Addendum (“DPA”).

9. Third-Party Services

BellReserve depends on third-party providers, including:

Provider Purpose
Retell AI Conversational voice AI, speech processing, and call recording hosting.
Twilio Telephony and SIP trunking.
Google Maps Platform Address geocoding.
MongoDB Data storage.
SMTP Email Provider Transactional email delivery.

Third-party providers may experience outages, service degradation, pricing changes, API changes, geographic restrictions, or other events outside our control.

Customer may also have its own relationship with a telecommunications provider or Twilio account.

Where Customer supplies Twilio credentials for provisioning, those credentials are used for the provisioning request and are not written to our database or returned through our API.

We are not responsible for third-party services to the extent that their failures are outside our reasonable control, subject to applicable law.

10. AI-Specific Disclaimer

10.1 AI Is Not Perfect

BellReserve uses artificial intelligence to understand callers and produce responses.

AI Output may be:

  • Incorrect.
  • Incomplete.
  • Misheard.
  • Misinterpreted.
  • Outdated.
  • Inconsistent.
  • Fabricated or “hallucinated.”

The AI may misunderstand:

  • A caller’s name.
  • A telephone number.
  • A delivery address.
  • A menu item.
  • An order quantity.
  • A modifier.
  • A reservation date.
  • A reservation time.
  • A food allergy.
  • A special request.

10.2 Verification

Customer must independently verify information before relying on it where an error could cause material harm, loss, or customer dissatisfaction.

In particular, Customer should independently verify orders, reservations, addresses, special requests, and allergy-related information where appropriate.

10.3 Allergies and Food Safety

BellReserve is not a substitute for trained restaurant personnel regarding food allergies, contamination, ingredients, preparation practices, or food safety.

Customer remains responsible for determining whether a food item is safe for a particular caller.

BellReserve does not guarantee that an AI-generated answer concerning ingredients, allergens, preparation, or cross-contamination will be accurate.

10.4 Emergency Calls

BellReserve is not an emergency service.

The Service must not be relied upon to contact emergency responders or provide emergency assistance.

Callers experiencing an emergency should call 911 or the appropriate local emergency number directly.

11. Service Levels, Support and Modifications

Unless a separate written agreement provides otherwise, BellReserve does not provide a guaranteed service-level agreement.

We may provide support through the support channels we make available.

We may modify, improve, replace, suspend, or discontinue features.

Where required by applicable law or a separate agreement, we will provide appropriate notice of material changes.

12. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT WARRANT THAT:

  • The Service will always be available.
  • Every call will connect.
  • Every call will be understood correctly.
  • Every order will be captured correctly.
  • Every reservation will be created correctly.
  • AI Output will be accurate.
  • The Service will be error-free.
  • The Service will meet every Customer requirement.
  • Third-party telephony or AI services will always operate without interruption.

We disclaim implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes a warranty that cannot legally be excluded.

13. Limitation of Liability

To the maximum extent permitted by applicable law, UnicodeTech Pvt. LTD and its affiliates, officers, directors, employees, agents, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages arising from or relating to:

  • Lost profits.
  • Lost revenue.
  • Lost orders.
  • Lost reservations.
  • Lost goodwill.
  • Business interruption.
  • Carrier penalties or blocking.
  • Loss of anticipated savings.
  • Loss of data, except where applicable law provides otherwise.

This limitation applies regardless of the legal theory of liability.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

14. Indemnification

Customer will defend, indemnify, and hold harmless UnicodeTech Pvt. LTD, its affiliates, officers, directors, employees, agents, and service providers from claims, damages, losses, liabilities, costs, and reasonable legal fees arising from or relating to:

  1. Customer’s use of the Service.
  2. Customer Content.
  3. Customer’s calls or communications with End Callers.
  4. Customer’s failure to provide legally required recording disclosures.
  5. Customer’s failure to obtain required consent.
  6. Customer’s violation of telephone, SMS, or telemarketing laws.
  7. Customer’s menu, pricing, hours, allergen, or food-safety information.
  8. Customer’s processing or use of End Caller data.
  9. Customer’s violation of applicable law.
  10. Customer’s violation of these Terms.

This obligation does not apply to the extent a claim results from our own gross negligence, willful misconduct, or other conduct for which indemnification cannot legally be required.

15. Term, Suspension and Termination

15.1 Term

These Terms begin when Customer accepts them or begins using the Service and continue while Customer maintains an active account.

15.2 Suspension

We may suspend or restrict access when reasonably necessary to:

  • Protect the Service.
  • Protect Customers or callers.
  • Address security risks.
  • Prevent fraud or abuse.
  • Comply with law.
  • Address carrier restrictions.
  • Address non-payment.
  • Prevent material legal or regulatory exposure.

We may suspend immediately where delay would create material risk.

15.3 Termination by Customer

Customer may terminate its subscription according to the cancellation procedure provided through the Service or applicable order.

Following termination, Customer data will be handled according to our applicable data-management and deletion procedures.

16. Confidentiality

Each party may receive confidential information from the other.

The receiving party will use reasonable care to protect confidential information and will use it only to perform or exercise rights under the parties’ agreement.

Confidential information does not include information that:

  • Is publicly available without breach.
  • Was already lawfully known.
  • Is independently developed.
  • Is lawfully received from another source without confidentiality restrictions.

A party may disclose confidential information when required by law, provided it gives notice where legally permitted.

17. Publicity

Unless Customer opts out or a separate agreement provides otherwise, Customer agrees that we may identify Customer as a BellReserve customer using its business name and logo in customer lists and marketing materials.

We will not imply that Customer endorses BellReserve without permission.

18. General

18.1 Governing Law

These Terms are governed by the laws of United States, without regard to conflict-of-law principles.

18.2 Assignment

Customer may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets where the assignee agrees to be bound by these Terms.

We may assign these Terms as part of a corporate transaction or restructuring.

18.3 Force Majeure

Neither party will be responsible for failure or delay caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disruptions, telecommunications failures, internet outages, governmental actions, and third-party infrastructure failures.

18.4 Notices

18.5 Electronic Communications

Customer agrees that we may provide notices electronically, including through email, dashboard notifications, or notices posted through the Service.

18.6 Export Controls

Customer must comply with applicable export-control and sanctions laws when using the Service.

18.7 Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain effective.

18.8 Entire Agreement

These Terms, together with applicable order forms, subscription agreements, DPA, and other incorporated terms, constitute the agreement between the parties concerning the Service.

18.9 Order of Precedence

If there is a conflict, the parties’ signed order form or written enterprise agreement will control over these Terms to the extent of the conflict, followed by the DPA for data-processing matters.

18.10 No Waiver

Failure to enforce a provision does not waive the right to enforce it later.
